1. Definitions

• Platform means Philowin Seller Hub.
• Seller means any individual, company, manufacturer, distributor, or business registered to sell products through the Platform.
• Customer means any buyer purchasing products through the Platform.
• Product means any item listed for sale by the Seller.

2. Seller Registration

To become a Seller, you must:

• Be at least 18 years of age.
• Provide accurate business information.
• Submit all required KYC documents.
• Provide valid PAN, GST (where applicable), bank account details, and identity proof.
• Keep your account information updated.

Philowin reserves the right to approve, reject, suspend, or terminate any seller account at its discretion.

3. Seller Responsibilities

The Seller agrees to:

• Sell only genuine and legally permitted products.
• Maintain sufficient inventory.
• Provide accurate product descriptions and images.
• Display correct pricing.
• Pack products securely.
• Ship orders within the promised dispatch time.
• Respond promptly to customer enquiries.

4. Product Listings

The Seller shall ensure that:

• Product titles are accurate.
• Images represent the actual product.
• Descriptions are truthful.
• Prices are correct.
• Products comply with Indian laws.

The Platform may remove any listing that is misleading, inaccurate, or prohibited.

5. Prohibited Products

The Seller shall not list:

• Counterfeit products.
• Illegal products.
• Stolen goods.
• Expired products.
• Hazardous materials prohibited by law.
• Products violating intellectual property rights.
• Adult or restricted items prohibited by the Platform.

Violation may result in immediate account suspension.

6. Pricing

The Seller is responsible for:

• Product pricing.
• Promotional discounts.
• Taxes.
• Inventory availability.

Pricing errors may result in order cancellation.

7. Orders & Shipping

The Seller agrees to:

• Accept valid customer orders.
• Dispatch products within the committed timeline.
• Update shipment tracking details.
• Ensure safe packaging.

Repeated shipping delays may lead to penalties or account suspension.

8. Returns & Refunds

The Seller shall accept approved returns in accordance with the Platform’s Return Policy.

Returns may be approved for:

• Wrong product delivered.
• Damaged products.
• Defective products.
• Missing items.
• Products significantly different from the listing.

Refunds will be processed according to the Platform’s settlement policy.

9. Payments

Seller payments shall be settled after considering:

• Successful delivery.
• Returns.
• Refunds.
• Chargebacks.
• Applicable taxes.
• Platform fees (if applicable).

Philowin may temporarily hold payments where fraud, disputes, or policy violations are suspected.

10. Taxes

The Seller is solely responsible for:

• GST compliance.
• Income tax obligations.
• Filing statutory returns.
• Maintaining accounting records.

11. Intellectual Property

The Seller confirms that:

• All uploaded content belongs to the Seller or is used with proper authorization.
• No trademark, copyright, patent, or design rights are infringed.

The Seller grants Philowin a non-exclusive licence to use product images and descriptions for operating and promoting the marketplace.

12. Customer Data

The Seller shall:

• Protect customer information.
• Use customer data only for order fulfilment.
• Never sell, share, or misuse customer information.

13. Fraud Prevention

The Seller shall not:

• Create fake orders.
• Manipulate reviews or ratings.
• Engage in fraudulent transactions.
• Misrepresent products or pricing.

Philowin may suspend accounts involved in suspicious activities pending investigation.

14. Suspension & Termination

Philowin may suspend or permanently terminate a seller account if the Seller:

• Violates these Terms.
• Sells counterfeit or prohibited products.
• Receives excessive customer complaints.
• Engages in fraudulent activity.
• Provides false information during registration.

15. Limitation of Liability

Philowin operates as an online marketplace connecting buyers and sellers.

Philowin is not responsible for:

• Product quality.
• Manufacturing defects.
• Seller warranties.
• Delivery delays caused by third-party logistics.
• Indirect or consequential losses.

16. Indemnification

The Seller agrees to indemnify and hold harmless Philowin, its directors, employees, and affiliates from any claims, losses, liabilities, damages, costs, or legal expenses arising from:

• Breach of these Terms.
• Sale of prohibited or counterfeit products.
• Violation of applicable laws.
• Intellectual property infringement.

17. Amendments

Philowin reserves the right to modify these Terms at any time.

Continued use of the Platform after publication of revised Terms constitutes acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by the laws of India.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts where the Platform operator is established, unless otherwise required by applicable law.
